1. The Necessity of a Written Assignment Deed
In Indian law, an oral agreement to sell a design is worthless. The transfer must be made through a written "Assignment Deed". This document must clearly state:
- The Consideration: The amount of money or value exchanged for the design.
- The Scope: Whether all rights (including the right to sue for past infringement) are being transferred.
- The Territory: Usually, the entire territory of India and global priority rights.
2. Recording the Assignment (Section 30)
The most common mistake companies make is signing the deed but forgetting to inform the Design Office. Under Section 30, the Assignee must apply to the Controller (using Form 10 or 11) to have their name entered as the new proprietor. If this is not done:
- The public record still shows the old owner.
- The new owner cannot file a suit for piracy under Section 22.
- Any extension or renewal notice will be sent to the old owner, potentially leading to the lapse of the design.
3. Stamping Compliance: The Hidden Hurdle
An assignment deed is a "Conveyance" under the Indian Stamp Act. This means you must pay "Stamp Duty" to the state government. The amount varies from state to state (e.g., Maharashtra has different rates than Delhi). If the deed is not correctly stamped, it cannot be used as evidence in court, and the Design Office may refuse to record the assignment.
4. Assignment of "Pending" Applications
You do not have to wait for the design to be registered to sell it. You can assign a "Pending" design application. In this case, we file Form 11 to substitute the name of the applicant. This is a common requirement for startups where the design was originally filed in the name of a "Founder" and must now be moved to the "Company" for fundraising purposes.
5. Transmission by Operation of Law
Ownership can also change without a sale—for example, when a company merges with another or when an individual owner passes away. This is called "Transmission".
